1. Agreement to Terms

By accessing or using JustSimpleChat (“Service”), operated by Jayson Espley (“we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you disagree with any part of these terms, then you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 13 years of age and have the legal capacity to enter into these Terms.

2. Description of Service

JustSimpleChat is an AI-powered chat platform that provides access to multiple AI language models through a unified interface. Our intelligent router system automatically selects the most appropriate AI model for each query to optimize response quality and cost-effectiveness.

The Service includes:

• Access to various AI language models from providers including OpenAI, Anthropic, Google, and others
• Intelligent routing to select optimal models for each query
• Conversation history and management
• Optional premium features and increased usage limits

3. User Accounts

3.1 Account Creation

To use certain features of the Service, you must create an account using Google OAuth authentication. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding the security of your account and for all activities that occur under your account. You must notify us immediately of any unauthorized access to or use of your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for any reason, including but not limited to violation of these Terms, fraudulent or illegal activity, or behavior that is harmful to other users or the Service.

4. Acceptable Use

4.1 Permitted Use

You may use the Service for lawful purposes and in accordance with these Terms. You agree to use the Service only for personal, non-commercial use unless you have a separate commercial agreement with us.

4.2 Prohibited Uses

You agree not to use the Service:

• In any way that violates any applicable federal, state, local, or international law or regulation
• To transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
• To impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity
• To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service
• To introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful
• To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service or any server, computer, or database connected to the Service
• To use the Service to generate content that violates the usage policies of the underlying AI model providers
• To reverse engineer, decompile, or disassemble any portion of the Service
• To use the Service for any illegal or unauthorized purpose

5. Intellectual Property

5.1 Service Content

The Service and its original content (excluding content provided by users or AI models), features, and functionality are and will remain the exclusive property of JustSimpleChat and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

5.2 User Content

You retain ownership of any content you submit to the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Service and our business operations.

5.3 AI-Generated Content

Content generated by AI models through the Service may be subject to the intellectual property policies of the respective AI model providers. You are responsible for ensuring your use of AI-generated content complies with applicable laws and third-party rights.

6. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as set forth in the Privacy Policy.

7. Payment Terms

7.1 Free Tier

We offer a free tier of the Service with limited usage. Free tier limitations may change at our discretion.

7.2 Paid Subscriptions

Premium features and increased usage limits are available through paid subscriptions. By purchasing a subscription, you agree to pay the applicable fees and any taxes. All payments are processed through our third-party payment processor.

7.3 Billing

Subscriptions are billed on a recurring basis (monthly or annually). You authorize us to charge your payment method on a recurring basis for the subscription fee. You may cancel your subscription at any time through your account settings.

7.4 Refund Policy

We offer the following refund policy:

• First 14 days: Full refund available for any reason
• Technical issues: Pro-rated refund if Service is unavailable for more than 24 consecutive hours
• Billing errors: Full refund for any overcharges or billing mistakes
• Annual plans: Pro-rated refund within 30 days of purchase

7.5 Service Level Agreement

For paid subscribers, we commit to:

• Uptime: 99.5% availability measured monthly
• Response time: <2 seconds for 95% of requests
• Support response: Within 24 hours for paid users

If we fail to meet these commitments, you may be eligible for service credits.

8. Third-Party Services

The Service integrates with various third-party AI model providers. Your use of these third-party services through our platform is subject to their respective terms of service and privacy policies. We are not responsible for the content, privacy policies, or practices of third-party services.

9. Disclaimers

9.1 Service Availability

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free.

9.2 AI Content Accuracy

AI-generated responses may contain errors, inaccuracies, or inappropriate content. We do not guarantee the accuracy, completeness, or usefulness of any AI-generated content. You should not rely on AI-generated content for critical decisions without independent verification.

9.3 No Professional Advice

The Service and any AI-generated content do not constitute professional advice (legal, medical, financial, or otherwise). Always seek the advice of qualified professionals for specific questions or situations.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL JUST SIMPLE CHAT OR JAYSON ESPLEY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the Service
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from the Service
• Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our Service by any third party
• Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING OR USING THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless JustSimpleChat, Jayson Espley, and their licensees and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:

• Your use and access of the Service
• Your violation of any term of these Terms
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right
• Any claim that your User Content caused damage to a third party

12. Dispute Resolution

12.1 Informal Resolution

Before filing any formal dispute, you agree to attempt to resolve any dispute informally by contacting us at [email protected]. We will attempt to resolve the dispute informally for 60 days after submission.

12.2 Arbitration Agreement

If informal resolution fails, any dispute will be resolved through binding arbitration under the rules of the London Court of International Arbitration (LCIA), except where prohibited by law.

12.3 Class Action Waiver

WHERE PERMITTED BY LAW, YOU WAIVE ANY RIGHT TO PURSUE DISPUTES ON A CLASS ACTION BASIS; THAT IS, TO EITHER JOIN OR REPRESENT A CLASS ACTION AGAINST US.

12.4 Dispute Resolution Process

The dispute resolution process follows these steps:

1. Submit dispute details to [email protected]
2. 60-day informal resolution period
3. If unresolved, either party may initiate arbitration
4. Arbitration conducted in London, UK (or via video conference)
5. Arbitrator's decision is final and binding

13. Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Any disputes arising from these Terms or your use of the Service shall be resolved exclusively in the courts of England and Wales, and you consent to the personal jurisdiction of such courts.

14. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.

Modification Notice Period: For material changes that may adversely affect your rights, we will provide at least 30 days advance notice before the changes take effect. During this period, you may choose to accept the new terms or terminate your account.

15. Additional Terms

15.1 DMCA Notice and Takedown Procedures

We respect intellectual property rights. If you believe content on our Service infringes your copyright:

2. Include: Description of copyrighted work, URL of infringing content, your contact information, statement of good faith belief, statement of accuracy under penalty of perjury, physical or electronic signature
3. We will review within 2 business days
4. Counter-notification process available for disputed claims

15.2 Export Control

You may not use or export our Service in violation of UK export laws and regulations or any other applicable export laws. You represent that you are not on any government prohibited party list.

15.3 Anti-Spam Policy

You agree not to use our Service to:

• Send unsolicited messages or spam
• Harvest email addresses or other user data
• Create multiple accounts for abusive purposes
• Automate interactions without our written permission

Violation may result in immediate account termination.

15.4 Account Suspension and Appeals

We may suspend accounts that violate these Terms. If your account is suspended:

• You will receive email notification with the reason
• You have 30 days to appeal by emailing [email protected]
• Include: Your account email, explanation, any supporting evidence
• We will review appeals within 14 days
• Our decision on appeals is final

16. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. The invalid or unenforceable provision will be replaced with a valid provision that comes closest to the intent of the original provision.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and JustSimpleChat concerning the Service and supersede all prior agreements and understandings.

18. Google API Services Terms

By using JustSimpleChat with Google Sign-In, you also agree to be bound by Google's Terms of Service. Our use of Google APIs adheres to the Google API Services User Data Policy, including Limited Use requirements.

Important: We only access the minimum Google account data necessary for authentication. We do not access your Gmail, Drive, Calendar, or any other Google services. You can revoke our access at any time through your Google Account settings.
